Shahmeer N. Arshad’s practice spans corporate and M&A, real estate and development, banking and finance, and dispute resolution, complemented by tax, employment and intellectual property work. He advises listed and unlisted companies, industrial groups, banks and financial institutions, regulatory authorities and utilities on both transactional and contentious matters, and is recognised for structuring complex, multi-party transactions and for obtaining extraordinary relief in matters involving the most intricate questions of law.

On the transactional side, he has led some of the market’s most significant real-estate and development structures, including a PKR 94 billion real-estate investment trust (REIT) implemented through a special-purpose vehicle, a PKR 10 billion residential joint venture and multi-billion-rupee shareholder and customer-return restructurings, together with share acquisitions and exits. His banking and finance practice covers financing structures, security documentation and Shariah-compliant arrangements on both lender- and borrower-side mandates, including the legal audit of a portfolio of over 600 house-finance transactions for a leading commercial bank.

He also maintains an active dispute resolution practice before the superior courts and specialised tribunals – including the Lahore High Court (Lahore and Multan benches), the Peshawar High Court, the Banking Court, the Insurance Tribunal and the Intellectual Property Tribunal – acting in tax references, banking and insurance disputes, intellectual property matters and regulatory litigation. He combines decisive advocacy with a commercial, outcome-oriented approach.

  • Corporate & M&A: Led a PKR 94 billion real-estate investment trust (REIT) implemented through a special-purpose vehicle, a PKR 10 billion residential development joint venture, a PKR 6 billion shareholders’ and joint-venture structure and a PKR 3 billion share exit, together with multi-billion-rupee shareholder and customer-return restructurings; also advised on the establishment of a Section 42 not-for-profit company and structured multiple FIDIC-based EPC contracts for real estate development and industrial manufacturing clients.
  • Real Estate & Development: Leads the firm’s most significant real-estate and development transactions, including REIT structuring through special-purpose vehicles, large-scale residential development joint ventures, the restructuring of a developer’s customer-return arrangements from a fixed to a variable-return regime, and real-estate financing and security.
  • Banking & Finance: Led the due diligence and legal audit of over 600 house-finance transactions for a leading commercial bank, and advises corporate borrowers and industrial groups on financing structures, security documentation and Shariah-compliant arrangements on both lender- and borrower-side mandates.
  • Dispute Resolution: Successfully represented listed and unlisted companies before the Lahore High Court and Peshawar High Court in multiple tax references and writ petitions. Secured enforcement of a PKR 73 million arbitral award as the rule of the Court for a state-owned gas utility, and obtained a recovery decree before the Civil Court, Lahore for a chemicals manufacturer; regularly acts in high-value commercial, banking, insurance and regulatory disputes.
  • Tax: Successfully challenged Punjab Revenue Authority orders and notifications before the Lahore High Court, with the impugned notices set aside and a client liability of approximately PKR 394 million extinguished; successfully represented a large company before the Peshawar High Court in multiple tax references.
  • Employment: Leads advisory and contentious employment mandates for public-sector and regulatory clients, including constitutional challenges to termination decisions under Article 199, service and disciplinary frameworks for statutory authorities, and the drafting of employment agreements, HR policies and codes of conduct.
  • Intellectual Property: Advises brand owners on Intellectual Property infringement, prosecution, portfolio management and enforcement before the Intellectual Property Tribunal, and on the registration of trademarks, patents and industrial designs.
