Managing Partner – Middle East
Hasan Rizvi is the Managing Partner of RIAA Barker Gillette (Middle East) LLP. He specialises in corporate, commercial and private equity. Hasan’s practice areas include project finance, restructuring, corporate finance and dispute resolution. He has acted on a number of high-profile transactions across the Middle East, Asia and African regions in diverse industries and sectors.
Hasan’s corporate expertise includes working with multinational and domestic corporations, private equity firms and family business groups on their operations and management, corporate structures, mergers, acquisitions and investments. He also acts for fund sponsors, investors and asset management firms on fund formation, investment structuring and regulatory compliance.
Hasan has extensively worked on infrastructure and energy projects, equity and debt capital markets transactions, and corporate restructurings. His private client expertise covers strategic advisory services to high-net-worth individuals and family groups in relation to family offices, private investments and holding structures.
Before establishing RIAA Barker Gillette (Middle East) LLP, Hasan was a partner at other international law firms and has been based in the Middle East for over 15 years.

The Carlyle Group
- The Carlyle Group represented the client in relation to the UAE aspects of Carlyle’s acquisition of a 30% stake in General Lighting Company, Saudi Arabia, and related investment restructuring arrangements.*
- The Carlyle Group represented the client in relation to the UAE aspects of Carlyle’s investment in Alamar Foods, Saudi Arabia. *
- The Carlyle Group and other global private equity firms and industry groups (including US Private Equity Growth Capital Council and the British Private Equity and Venture Capital Association) represented clients in connection with the Investment Funds and Investment Management Regulations issued by ESCA. *
Joint venture
A joint venture between Agility Logistics and France Telecom represented the client in relation to the acquisition of a shareholding in Korek Telecom Iraq, including the establishment of the investment holding structure in the DIFC. *
Government of Dubai
- Represented the client in relation to its inaugural US$ 2,500,000,000 Sukuk Programme.
- Represented the client in relation to the 2009, 2010 and 2011 updates of its US$ 4,000,000,000 Euro Medium Term Notes Programme.*
Dubai Department of Finance
- Dubai Department of Finance of the Government of Dubai represented the client in relation to the establishment of the US$ 20 Billion Dubai Financial Support Fund. *
- Dubai Department of Finance of the Government of Dubai represented the client in relation to a Syndicated Ijarah Facility of up to US$ 600 Million. *
Global alternative
Global alternative asset management firm, The Carlyle Group, represented client in relation to establishment of Carlyle MENA Investment Advisors Limited and related entities – the first investment structure to be established in the Dubai International Financial Centre. *
IM Galadari Group
IM Galadari Group represented client in relation to restructuring and land acquisition matters relating to City of Arabia projects. *
AON Group
AON Group, represented client in relation to various corporate and regulatory matters in the UAE including establishment of regulated entities in the DIFC. *

The Catalyst Group represented client in relation to US$ 150 million acquisition of F&B sector entity in the GCC.
