Consultant

Ayla Ahmed joined RIAA Barker Gillette (UK) as a consultant in 2019.

Her legal expertise spans a range of areas, including contract negotiations, strategic planning, corporate and financial restructuring, mergers and acquisitions, joint ventures, privatizations and project finance.

Ayla’s varied experience covers several sectors, with a particular focus on petroleum and natural gas, telecommunications and energy.

Ayla Ahmed is a member of the Sindh Bar Council, Sindh High Court Bar Association, and the Honourable Society of Lincoln’s Inn and is enrolled as an Advocate of the High Courts of Pakistan.

Commercial

Commercial work includes distribution and agency agreements, supply of services contracts, sale of goods contracts and consultancy agreements.

Corporate

Corporate work includes restructuring, mergers and acquisitions, shareholder and joint venture agreements and share sale and purchase agreements.

Energy

Energy work includes advising various oil and gas exploration and development companies in all their matters relating to concession documents, gas sales agreements, regulatory matters, mergers, acquisitions and restructuring. Also, advising gas transmission and distribution companies on the development of their transmission and distribution network and the sale and purchase of various businesses.

Privatisation

Privatisation work includes advising the seller of a telecommunication company on all legal issues and the regulatory framework and negotiating all transaction documents with the purchaser. Represented the purchaser in a privatisation of a steel mill and successfully recovered the entire advance purchase price when the privatisation was abandoned. Represented the bidder in the privatisation of a company involved in the marketing and distribution of petroleum products.

Projects and project finance

Project and project finance work includes advising on implementation agreements, power purchase agreements, fuel supply agreements, EPC contracts, O&M contracts, sovereign guarantees, letters of credit, accounts agreements, syndicated finance facilities, common terms agreements, inter-creditor agreements, sponsor support agreements, direct agreements and security agreements and deeds.

Telecommunications

Telecommunications work includes advising various telecommunication companies with regard to all corporate and regulatory matters.
